Question: My CPA recommended I form a LLC because of the tax advantages and to limit my liability. What kind of paperwork does that entail?

Answer: You'll need to file Articles of Organization with the State along with their filing fee. This can be done electronically as can the application for a federal tax number. Additionally, you'll have to have an Operating Agreement in place which will indicate rights and responsibilities of members and the way business will be carried out by the members. This document does not have to be filed with the State but is essential in determining member rights and obligations.

Note: These documents both filed with the State and held internally by members, carry significant legal ramifications. It is strongly advised that you consult with an experienced business law attorney when completing these documents.
